Version of October 19, 2026

These terms apply to all JustSimpleWeb services (Agence Marketing Just Simple Web): website design, the Web Partnership and hourly work. By accepting a quote, an invoice or a contract from JustSimpleWeb, you accept these terms. If a signed contract provides otherwise, the contract prevails. Our services are for businesses: you confirm that you are dealing with us for the purposes of your business. This English text is a translation of the French terms of service: if the two differ, the French version prevails.

Quotes

A quote is valid for 30 days. It describes the website, its price and the way to pay you chose. Anything you ask to add after acceptance requires a new quote.

Ways to pay

  • One-time payment: the price of the website, with a discount, invoiced at signing.
  • Deposit and final payment: a deposit invoiced at signing, then the balance, invoiced when the website is ready, before it goes live.
  • Web Partnership: a deposit of 30% of the website’s price, paid when you authorize your payments after signing, then 24 monthly payments. Each payment includes management (hosting, website monitoring, reports and an edit credit) and a share of the website’s price. The first payment is due one month after the deposit is paid. After 24 months, the website is yours: you keep management alone, at the same price, or you leave with your website, at no cost. Offered for websites whose content changes often. The detailed terms are in the contract.
  • Monthly plan: with no fixed term; you end it with 30 days’ written notice.

The amounts are in your quote. They are in Canadian dollars, before taxes (GST and QST).

Start of work and schedule

Work begins when we receive the deposit or the payment. The planned launch date assumes that you provide your content, your access and your feedback on time; a delay on your side pushes it back by the same amount. You have 14 business days to comment on each delivery. If we receive no comments within that time, the delivery is considered approved.

We may entrust part of the work to collaborators, such as a photographer, a writer or a translator, under our responsibility.

Revisions

  • One-time payment, deposit and final payment: two rounds of revisions are included. Additional revisions are billed at the hourly rate in effect.
  • Web Partnership: revisions are unlimited until launch, within the scope of the quote.

Hourly work

Hourly work is billed at the rate stated in your quote or contract. Web Partnership clients get a reduced rate.

Hosting, domain name and transfer

We build your website in our workspace on the platform chosen (Webflow, Wix or Shopify), and it stays there after launch. You keep access to make your content changes. Your domain name is in your name.

  • One-time payment, deposit and final payment: hosting and the domain name are billed in your name and paid by you.
  • Web Partnership: they are included in the monthly payment.

You can ask at any time for your website to be transferred to an account in your name. The transfer costs $350. It is free at the end of a 24-month Web Partnership. It takes place once all amounts due have been paid.

Website ownership

The website created for you belongs to you once its price is paid in full: its design, the texts we wrote, the visuals created for you and the code specific to the website. We keep our tools and methods, and grant you a licence to use them in your website. Third-party templates, fonts, images and extensions remain subject to their own licence. You warrant that you hold the rights to the content you provide to us. We may show your website in our portfolio.

Payments and late payments

  • Due date: our invoices are payable within the period stated on each one, or within 15 days if none is stated. Web Partnership payments are debited on their date.
  • Payment methods: Interac e-Transfer, bank debit or credit card. For the Web Partnership: pre-authorized bank debit or credit card, through Stripe.
  • Declined payment: a $25 fee applies to each payment that is declined or disputed without valid grounds, and you have 7 days to settle it.
  • Interest: any overdue amount bears interest at the rate of 1.5% per month (18% per year).
  • Suspension: after 30 days overdue, we may send you a formal notice. If the delay is not settled 10 days later, we may suspend the work, support and reports. For the Web Partnership, the website may be taken offline after 60 days overdue, with 5 days’ notice.
  • Collection: reasonable collection costs are your responsibility.

Ending the services

You can end our services at any time, with 30 days’ written notice. You then pay for the work done and the expenses incurred; if you have paid more, we refund the difference within 30 days. For the Web Partnership, leaving before the end of the 24 months follows the terms of the contract: the balance of the website’s price, the portion of the edit credit used beyond what has been earned, and the transfer fee; the remaining months are not billed. For our part, we end our services only for a serious reason, with 30 days’ notice.

Liability

We are not liable for indirect damages, such as loss of profits, data or goodwill, nor for outages, changes or security incidents on third-party platforms (hosting, payment, audience measurement). Our total liability is limited to the greater of the following amounts: the price of the service concerned, or the amounts you paid us in the last 12 months. These limits do not apply in the case of intentional or gross fault, or of bodily or moral injury.

Confidentiality and personal information

We keep information about your business confidential. When we have access to personal information on your behalf, for example through your website’s forms or your audience measurement tools, we use it only to serve you and we protect it. We notify you without delay of any confidentiality incident, and we return or destroy the information at the end of the engagement. The platforms used may keep this information outside Quebec.

We provide a privacy policy template that meets the general requirements of Law 25. Adapting it to your actual practices remains your responsibility. To learn how we handle your own information, see our privacy policy and, if you use our client portal, its privacy page (in French).

Changes to these terms

We may amend these terms. The version in effect on the date of your quote or contract applies to your engagement.

Governing law and contact

These terms are governed by the laws of Quebec. In the event of a dispute, we first seek an agreement in good faith. Failing that, the courts of Quebec have jurisdiction, including the Small Claims Division.
